COMMON DENOMINATOR

Rising To The Equation

Terms of Service

Effective October 24, 2026.

These terms are effective October 24, 2026. They are an agreement between you and Top Honors Inc., doing business as Common Denominator, for your use of cdmath.org and your participation in the tutoring program we operate through it.

Agreement to these terms

By using cdmath.org, submitting a form, making a donation from this site, or using an invited account, you agree to these terms and to our Privacy Policy. If you use the site for a school or another organization, you confirm that you have authority to agree for that organization.

If you do not agree, do not use the site or submit information through it. You may still contact us at [email protected] with a question.

Volunteer tutors also sign a confidentiality agreement, a child protection policy, and a background check policy in the app. If one of those signed agreements conflicts with these terms on confidentiality, child protection, or background checks, the signed agreement controls for that subject.

Who we are

Common Denominator is a registered 501(c)(3) tax-exempt organization. Our employer identification number is 75-3062601. Our mailing address is P.O. Box 2009, New York, NY 10163. You can email [email protected] or call 201-241-2910.

In these terms, “Common Denominator,” “we,” and “us” mean Top Honors Inc., doing business as Common Denominator.

The tutoring program

We provide free math tutoring for New York City middle school students. Volunteer tutors work with students in cohorts, in person and online, in partnership with schools. The program uses our curriculum, including instruction, math activities, and assessments.

Tutoring is educational support. It does not replace the instruction a student receives at school. We do not promise a grade, a test score, promotion, admission to a school, or any other particular result.

We may change session times, cohort placement, curriculum, and program rules. We may pause or end a cohort or the program. The public status page describes whether the website is operating. It is not a promise that the site or a tutoring session will be available at a particular time.

Who may participate

Anyone may read the public pages on cdmath.org.

  • A volunteer applicant must be at least 14 years old. Applicants who are 18 or younger must give us a parent or guardian's name, email address, and mailing address. A parent or guardian should review these terms before that applicant volunteers. We may contact the parent or guardian about the application.
  • Accounts for tutors, school coordinators, and program staff are created by invitation. An invitation is for the person and role named in it.
  • Students do not create accounts. A partner school enrolls a student, and a parent or guardian agrees to participation by signing the student application the school collects.

If you are under 18, these terms bind you to the extent the law allows. They also bind a parent or guardian who permits you to volunteer.

Accounts

Keep the information on your account accurate. Keep your password confidential, and do not share your login. You are responsible for activity under your account. Email us if you believe someone else has used it.

You may sign in with a password or with a Google account that uses the same email address as your Common Denominator account. Two-factor authentication is available by email. You must complete it when it is turned on for your account.

An electronic signature or certification in the app has the same effect as a handwritten signature for the application and the agreements presented there.

We may refuse an invitation, require a password reset, or suspend or archive an account if information is inaccurate, if these terms or a signed agreement are not followed, or if we believe that step is needed to protect a student, another person, or the program. An archived person cannot sign in.

Volunteer tutors

A public volunteer inquiry is a request to be considered. It does not create an account and it does not place you with a student. If we invite you to continue, you must complete onboarding before you tutor. Onboarding includes the application, the screening we require, the agreements we ask you to sign, and any other documents we request.

There is a one-time $20 administrative fee for processing the volunteer application, including the background check. You pay it through the donation form described below. If you cannot pay it, contact us before your placement is held up for that reason.

Give us complete and truthful information. A false statement during onboarding can end your ability to volunteer.

After you are approved, you may request a cohort. A request does not guarantee a placement. The school and our staff decide cohort membership and student assignments. A meeting link or location is for the people in that cohort. Do not share it outside the cohort.

While you volunteer, follow the agreements you signed. Keep student and family information confidential and use it only for Common Denominator tutoring. Follow the child protection rules for contact with students. Treat students, families, school staff, and other volunteers with respect. Record program information honestly, supervise students in your care during a session, and follow the cohort plan.

Volunteer tutors participate as volunteers. These terms do not create employment, a partnership, or an agency relationship. You are not paid wages for tutoring. You are responsible for your own transportation and for any tax questions about your volunteering. Ask your own advisor about those questions.

Schools and coordinators

A school partnership starts when we accept a school into the program. A coordinator account is for a person the school authorizes to manage its participation. The coordinator must be affiliated with that school in the role we invite.

A coordinator provides accurate information about the school and its students, shares student information only when the school and the parent or guardian may share it with us so the student can receive tutoring, and provides the records and consents we require before tutoring begins. The coordinator keeps the school's participation current and uses tutor contact information only for the program.

The school remains responsible for its own students during the school day and for deciding which students it refers. We may decline a student, a cohort request, or a partnership.

Students and families

A parent or guardian agrees to a student's participation by signing the student application the school collects. These website terms govern use of cdmath.org. They do not replace that signed application.

Families should direct questions about a student's school records to the school. You may also contact us about the tutoring relationship. A parent or guardian may withdraw a student by telling the school, and the school or the family may tell us.

Acceptable use

When you use cdmath.org, you agree that you will not:

  • Break the law, or help someone else break the law, through the site.
  • Submit information you know is false.
  • Harass, threaten, or exploit a student, family member, volunteer, or staff member.
  • Attempt to view, change, or download records your role does not allow you to see.
  • Probe, scan, or test the security of the site without our written permission.
  • Upload a virus, malware, or any file you are not authorized to share.
  • Share your login, or use someone else's login.
  • Use the site to advertise or solicit for a business or another organization.
  • Copy the site, the curriculum, or program records for a competing use.
  • Interfere with another person's use of the site.

We may remove content, decline a form, and suspend access when we believe these rules have not been followed.

Your submissions

You keep ownership of the applications, messages, documents, photos, and notes you submit. You give Common Denominator permission to host, store, review, and share those materials as needed to operate the program and as described in the Privacy Policy. That permission lasts for as long as we need the materials for the purposes in that policy.

You confirm that you have the rights needed to submit those materials, and that submitting them does not violate someone else's rights. A coordinator confirms that the school may share the student information entered on the school's behalf.

Our materials

The website, the Common Denominator name and logo, the curriculum, assessments, and the text and design of our pages belong to Common Denominator or to the people who license them to us. You may use the curriculum and assessments only to participate in this program. You may not publish, sell, or reuse them for another program without our written permission.

If you send us a suggestion about the program, we may use it without an obligation to pay you or to adopt it.

Photographs and recordings

The volunteer application includes a media waiver. By volunteering, you authorize us to capture and use photographs and video of you at events and program activities for program promotion and fundraising.

Photographs and recordings of children require prior written consent from a parent or guardian. A parent or guardian may decline. Volunteers may photograph a child only when we have authorized it and the consent allows it. Those images are turned over to Common Denominator and removed from the personal device.

Donations and the administrative fee

The Donate link opens a donation form hosted by Zeffy. A gift is voluntary. Because we are a 501(c)(3) organization, a charitable gift may be tax-deductible to the extent the law allows. Deductibility depends on your own circumstances. Zeffy handles the payment and may send the receipt. We do not receive your card number. Zeffy's terms apply to the payment.

The $20 volunteer administrative fee is also paid on that donation form. The fee covers the cost of processing a volunteer application, including the background check. It is not a purchase of a placement. Paying the fee does not guarantee that you will be approved or assigned.

We may decline or return a gift when the law, a payment provider, or the protection of the program requires it.

Other services

Some features use services we do not operate. Google sign-in and Google Drive are provided by Google. Virtual sessions may use Zoom or another meeting service named in the cohort. Donations use Zeffy. Our footer links to our LinkedIn page. When you leave cdmath.org or join a meeting, that service's terms and privacy policy apply to your use of it.

A link to another site is not an endorsement of that site's content beyond the purpose described in these terms.

Privacy

Our Privacy Policy explains what information we collect, how we use it, and the choices you have. The policy is part of these terms.

Disclaimers

The website and the program are provided as available. Tutoring is provided by volunteers and partner schools working with us. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components. We do not warrant a particular educational outcome.

Information on the public site is general information about the program. It is not legal, medical, tax, or other professional advice.

Limits on liability

To the fullest extent the law allows, Common Denominator and its directors, officers, employees, and volunteers are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of your use of the site, a donation, or the program.

Where the law allows a cap, our total liability for a claim about the website or a payment you made to us is limited to the amount you paid us for that transaction during the 12 months before the claim. If you paid nothing, that cap is $100.

These limits do not apply to liability for bodily injury, gross negligence, willful misconduct, or any liability that New York law does not allow us to limit or exclude.

Indemnity

If you are 18 or older, or you are agreeing for a school or another organization, you will indemnify Common Denominator and its directors, officers, employees, and volunteers against claims, damages, and reasonable expenses arising from your misuse of the site, your violation of these terms, or information you submit without the right to share it.

This indemnity does not apply to a volunteer who is under 18. It also does not require you to cover a claim caused by our gross negligence or willful misconduct.

Ending participation

You may stop using the website at any time. A volunteer may stop volunteering by emailing us. A school may end a partnership by emailing us. A parent or guardian may withdraw a student through the school.

You can delete your own account from your profile page. Deleting your account removes your profile photo and, for a tutor, your application, signed agreements, and volunteer documents. Student records are not removed. Documents you uploaded for a student, session notes you wrote, attendance, and audit entries about your past actions remain, as the Privacy Policy describes. Deletion cannot be undone. If you are assigned to a student, tell us before you delete your account so we can arrange coverage.

We may end a placement, a partnership, or access to an account as described in these terms. Ending participation does not cancel obligations that by their nature should continue, including confidentiality, child protection, the licenses you gave us for materials we still need, the limits on liability, and the governing-law section.

Changes to these terms

We will post any update on this page and change the effective date. If you continue to use the site after that date, you agree to the updated terms. If a change materially affects volunteer or school obligations, we will also notify affected account holders by email or through the site when we have a working email address for them.

General terms

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. You and Common Denominator agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York, except where the law requires a different court.

These terms, the Privacy Policy, and any agreement you sign in the app are the entire agreement between you and Common Denominator about the site and the program. They replace earlier understandings about those subjects.

If a court holds one part of these terms unenforceable, the rest remains in effect. A delay in enforcing a term is not a waiver of it. You may not assign your account or these terms. We may assign them to a successor that continues the program.

We are not responsible for a delay or failure caused by an event outside our reasonable control, including a school closure, a failure of a service we rely on, or an emergency.

These terms do not create rights for any person other than you and Common Denominator, except for the people protected by the indemnity and the limits on liability.
